the state of Florida to resolve any disputes arising hereunder
or relating hereto, and hereby further irrevocably waive
any claim that such suit, action or proceeding in any
such court has been brought in an inconvenient forum.

of this Agreement shall be brought solely in the United
States District Court for the Middle District of Florida,
Tampa Division, or in the Circuit Court for the Thirteenth
Judicial Circuit of Florida, Tampa Division. If
a dispute arises under the terms of this Agreement, Bond
Medical shall be entitled to recover its reasonable costs
and expenses, including reasonable attorneys' fees, incurred
in connection with such dispute.
